Browzwear Software as a Service Subscription Agreement

I. Introduction
- This Software as a Service Subscription Agreement ("Agreement") is an agreement between the individual or business entity obtaining the applicable Service/s and/or Software ("You") and Browzwear Solutions Pte Ltd, whose principal place of business is 3 Harbourfront Place, #09-01 HarbourFront Tower 2, Singapore 099254 (referred to as "Browzwear").
- Browzwear provides certain subscription service/s to which You intend to subscribe. As part of the subscription, you may require a License to Browzwear's Software. This Subscription Agreement sets forth the terms pursuant to which You will be permitted to access and use the Service/s and/or Software.
- Service. For the purpose of this Agreement, the term "Service", "Services" or "Service/s" shall mean the subscription services that You purchased from Browzwear and/or otherwise provided to You by Browzwear, including any of the following services: Stylezone services, cloud-based administration of licenses/subscriptions, cloud-based services for rendering, simulations or other purposes, use of Browzwear's VStitcher headless product (subject to additional license terms), as well as any additional service provided as a cloud-based service.
- End-User License. If you purchased license to and/or installed any of Browzwear's software ("Software"), then use of such Software is subject to the terms of this Agreement, including, without limitation, the additional End-User License Terms herein.
- Privacy Policy. By using the Service/s and/or Software, you are agreeing to the terms in this Agreement and Browzwear's Privacy Policy and Browzwear's collection of personal data according to it; if you are an organization or corporate entity, you obtained the consent from the persons whose data is collected to allow Browzwear to process their data accordingly.
II. Term
- Term: This Agreement shall become effective upon the earlier of (i) first use of the Service/s or (ii) execution of an accepted Order form and shall continue for one (1) year or as otherwise provided for in an order or other agreement accepted by Browzwear. This Agreement will terminate upon expiration of the Term or any renewal thereof, should you fail to timely renew this Agreement. Browzwear is not liable for any damages or costs incurred in connection with termination or expiration of the Service/s. Upon termination all applicable licenses shall terminate as well.
III. Provision of Service

During the Term of this Agreement, Browzwear shall make the Service/s available to You in accordance with the terms herein and the SLA. The Services are provided via a web-interface.

Browzwear reserves the right to deny access to the Service/s to anyone at any time in the event that Browzwear, in good faith, believes it is necessary for purposes of ensuring compliance with this Agreement or to protect the rights, property and interests of Browzwear, its Affiliates (any entity which directly or indirectly controls, is controlled by, or is under common Control with a party. "Control" shall mean direct or indirect ownership or control of more than 50% of the voting interests), service providers and/or licensors.

Who Can Register? Browzwear provides the Service and Software for adults, and to corporations and legal entities. You may only set up an account if you are allowed to enter into an agreement, meaning you are an adult, and you were not previously ruled by a competent authority as a legally restricted entity, defaulted, declared bankrupt, insolvent, or otherwise were unable to meet your material legal obligations.
Moreover, the use of the Services and Software is prohibited for people who reside in proscribed states, such as North Korea, Iran, Libya, and South Sudan, entities listed in the UN sanction list, and is also prohibited for members of terrorist organizations or people who are prohibited under law into entering in an agreement with Browzwear.
If you are a minor, you cannot use the Services and Software.
IV. Your Account

Each person who uses the Service/s and/or Software must have a unique account with a unique username and password. Issuance of these accounts are made either by Browzwear or Your organization's administrator. Please keep in mind that the owner of the account is the legal entity that ordered the Services and/or Software, and not the end-user.

The Services and/or Software may be accessed via one or more user in your organization, and in such case, you are responsible for the provision of any usernames and passwords for such users, and their compliance with these Terms.

You are responsible for the security, integrity, and authenticity of your account. You must keep your credentials confidential and refrain from using a commonly used password or information which may be found with regular free-text internet search engines. If You become aware of unauthorized use of Your account, report it immediately to your administrator. If you are the administrator, report it immediately to support@browzwear.com. Browzwear shall not be liable for any hacked account, or any suspension made due to a hacked account compromising the Services.
V. Using the Services and/or Software – Your Subscriber Obligations and Restrictions
- The Service/s and/or Software provided to you are meant for Your personal use and are subject to the terms of this Agreement. You may enable access to the Service/s for use only by You and Your employees in accordance with the terms of this Agreement, and not for the benefit of third parties. You are responsible for all use of the Services and/or Software by You and/or on Your behalf and compliance with this Agreement.
- In the event Browzwear has made the Service/s and/or Software available to You under a separate agreement (for example, for evaluation, for an educational institute, under a commercial agreement with additional terms), then access to the Service/s shall be solely for the purpose stated in such agreement.
- Restrictions:

Personal. Use of the Services and/or Software is limited to You and Your employees. You cannot transfer nor assign Your rights hereunder without Browzwear's explicit written consent or permit any third party to access or use the Service and/or Software or install the Software in any system or environment which enables third party access. All users of the Service and/or Software will have Your organization e-mail address.

Reasonable. Your use of the Services and/or Software must be bona fide and according to reasonable service limitation and calls, meaning, among others, that you will not use the Services excessively, make irregular calls to the Services, nor otherwise try to circumvent the Services' functionality. You will only use the Services and Software for your own use, meaning that you will not sell the Services nor the Software (or access to them) to any third party or to any entity other than your own organization.

No Illegal Use. You will not use the Services and/or Software in any illegal manner, or in any manner that infringes the law or any right of a third party, including copyrights, trademarks, trade secrets or other intellectual property rights. You shall not use the Services and/or Software in any manner that is not compliant to Browzwear’s documentation. Without derogating from the generality of the above, You may not use the Services and/or Software to process any content which is illegal or infringes on any third-party rights. You may not use the Services in any way that makes excessive calls to the cloud Services or otherwise interrupts others’ use of the cloud Services.
You shall have sole responsibility for the accuracy, quality and legality of all Subscriber Data (as defined below).
You shall not, in connection with the Service/s and/or Software, use (including without limitation, store), infringing, obscene or otherwise unlawful or tortious materials. -
Unauthorized Use. You shall take commercially reasonable efforts to prevent unauthorized access to, or use of, the Service/s. You shall notify Browzwear promptly upon any unauthorized access or use and cooperate with and assist Browzwear in identifying and preventing any unauthorized use, copying or other misuse of the Service/s or any portion thereof.

No Interfering. You shall not interfere with or disrupt performance of the Service/s. You shall not attempt to breach the security of the Service/s, or access or attempt to access data belonging to third parties. In addition, You and/or anyone on Your behalf, shall not perform any penetration testing or any other security assessments of the Service/s.

Access. You shall not attempt to gain access to the Service/s or the related systems and networks in a manner not set forth in this Agreement. You will not grant any 3rd party access to the Service/s, and will not allow any use of the system, either direct or indirect, using the Service/s to replicate and/or compete with Browzwear’s business. In addition, You will not access the Service/s or documentation in order to build any software product or service.

No Reverse Engineering. You will not reverse engineer any of the Services functionality and shall not circumvent any of the cloud Services features by any means. You may not reverse engineer the Software, decompile it, or otherwise cause it to act in non-regular order. Moreover, you will not use the data generated by the Services and/or Software in order to compete with the Services or the Software.

No Infringement. You and/or anyone on Your behalf, will not infringe or misappropriate Browzwear’s Intellectual Property rights in the Service and/or Software, including through the use of machine learning artificial intelligence and/or automation tools to copy the Software or any part thereof in an infringing manner.

No Copying. You shall not copy any features, functions, integrations, interfaces or graphics of the Service/s and/or Software.

Processing. You will not process through the Services any personal data which you did not obtain explicit consent for processing. Such consent must include Browzwear’s right to process and retain such data.

VI. Proprietary Rights
- Browzwear - Ownership and Reservation of Rights. Browzwear and its licensors retain and own all right, title and interest in and to the Service/s and Software, documentation and any other rights, including without limitation, intellectual property rights. No rights are granted to You other than as expressly set forth herein.
VII. Subscriber Data

As between Browzwear and You, You retain all intellectual property rights in Your content, submitted by You to the Service ("Subscriber Data"); however, in order to use this content, You need to grant Browzwear the permissions stated inhere. This means that Browzwear does not take away any ownership from You, and that Browzwear will not sell Your Subscriber Data to anyone, but that You do need to provide Browzwear with some licenses.

License. You hereby grant Browzwear and its Affiliates an irrevocable, permanent, unlimited, world-wide, royalty-free, sublicensable, non-exclusive license to use the Subscriber Data as necessary for Browzwear to provide the Service/s in accordance with this Agreement (including without limitation, where applicable, to allow users to view and share Your content according to the functionality of the Services and through other third-party services, including the creation of derivative works and the creation of three dimensional works). This section is required, among others, for You to share and collaborate on your content with your colleagues, clients, and others.
Subject to the limited license granted in this Agreement to Browzwear, Browzwear acquires no right, title or interest from Your or Your licensors under this Agreement in or to any of Your Subscriber Data. - Your Warranty. You hereby warrant that you are either the sole owner and proprietor or a designated licensee of your Subscriber Data and any content You distribute through the Service, and that no other party's rights are infringed or violated by Your use of the Subscriber Data and the Services. You moreover warrant that no legal claim, dispute or lawsuit was filed against You or threatened against You for publishing content through the Services.
VIII. Changes to the Services

Browzwear may change, add, or remove the features and functionality of the Services. Any depreciation of a material portion of the Services shall require us to provide you with a 30-days prior written notice and a copy of your content and data, in a machine-readable format.

Browzwear may remove content that breaches its Terms. Browzwear may suspend or stop providing the Services to you if you breach its Terms, or if Browzwear is investigating suspected misconduct. If Browzwear receives a complaint from a third party stating that Your content (Subscriber Data) infringes on any of its legal rights, or is otherwise illegal, Browzwear will inspect the complaint and forward You a copy. Once Browzwear does that, Browzwear may disclose Your identity to the person who filed your complaint and remove content if we believe that it is not compliant with these Terms.
IX. Confidentiality
During Your use of the Service and/or Software, You may be exposed to several of Browzwear's trade secrets and confidential information. You may not disclose, publish, or otherwise convey any of Browzwear's source code, designs, marketing materials, manuals or any other information copyrighted or titled by Browzwear without Browzwear's prior written consent.
X. Limited Warranties; Disclaimers; Indemnification; Limitation of Liability

Intellectual Property: Browzwear warrant that the Services and/or Software do not knowingly violate or infringe any third-party claims in respect of intellectual property, patents, or trademarks, and that to the best of Browzwear's knowledge no legal action has been taken against Browzwear for any infringement or violation of any third-party intellectual property rights. If such claim prevents Browzwear from providing You with the Services, Browzwear may terminate this Agreement without prejudice and without any compensation.

Service Levels: Browzwear warrants that the Services will meet the support service levels specified in the Service Level Agreement.

Security of Services. Browzwear will deploy commercially reasonable security precautions intended to protect against unauthorized access to any Subscriber data stored by Browzwear in connection with the Services. Browzwear will exercise reasonable efforts to implement fixes for security breaches made known to Browzwear. You acknowledge that, notwithstanding the security precautions deployed in connection with the Services, the use of, or connection to, the internet provides the opportunity for unauthorized third parties to circumvent such precautions and illegally gain access to Subscriber Data.

Disclaimer. To the extent permitted under Law, Services and Software are provided on an “as-is” and “as-available” basis. Your use of the Services and/or Software is at Your own risk and under Your liability. Except as provided above, Browzwear disclaims, to the extent permissible by applicable Law, any and all warranties, whether statutory, express or implied, including without limitation (i) warranties of merchantability, fitness for a particular purpose, (ii) warranties arising through course of dealing or usage of trade, and (iii) warranties that the Service and/or Software will be error free, without defects or code which may cause damage to Your computers or to Yourself. Without limiting the above, Browzwear makes no warranty that (a) the Services and/or Software will meet your requirements and (b) the Services and/or Software will be uninterrupted, timely, secure, or error-free and (c) the results that may be obtained from the use of the Services and/or Software will be accurate or reliable and (d) the quality of any products, services, information, or other material purchased or obtained by you through the Services will meet your expectations, or (e) any errors in the Services and/or Software will be corrected.

Limitation of Liability. BROWZWEAR SHALL NEVER, AND WITHOUT ANY LIMIT, BE LIABLE FOR ANY DAMAGE, COST, EXPENSE OR ANY OTHER PAYMENT INCURRED BY YOURSELF AS A RESULT OF SOFTWARE AND/OR SERVICE'S ACTIONS, FAILURE, BUGS AND/OR ANY OTHER INTERACTION BETWEEN THE SOFTWARE AND YOUR END-EQUIPMENT, COMPUTERS, OTHER SOFTWARE OR ANY THIRD PARTY, END-EQUIPMENT, COMPUTER OR SERVICES. MOREOVER, BROWZWEAR SHALL NEVER BE LIABLE FOR ANY DEFECT IN SOURCE CODE WRITTEN BY YOU WHEN RELYING ON THE SOFTWARE OR USING THE SOFTWARE’S SOURCE CODE. SOME JURISDICTIONS DO NOT ALLOW SUCH EXCLUSION OF LIABILITY; IN SUCH CASE, AND IN THOSE JURISDICTIONS ONLY, BROWZWEAR MAXIMUM LIABILITY SHALL BE LIMITED TO THE AMOUNT PAID DURING THE LAST 12 MONTHS PRIOR TO ANY EVENT WHICH CAUSED YOU DAMAGE. Browzwear uses some 3rd party software, as detailed herein. Browzwear is neither the author of these software programs, nor shall it be liable to any damage arising from such software.

Indemnification. You hereby warrant and agree to hold Browzwear harmless and to indemnify Browzwear for any damage, loss, expense, legal expense or cost incurred as a result of (i) Your use of the Services and/or Software in violation of this Agreement, including any false representation or illegal content posted, and/or (ii) breach or otherwise circumvention of Browzwear's intellectual property rights or title in any Software or Service. You shall cooperate as fully as reasonably required in the defense of any claim. Browzwear reserves the right, at its expense, to assume the exclusive defense and control of any matter subject to indemnification hereunder and You shall not settle any matter without the written consent of Browzwear.
XI. End User License Terms
If You purchased licenses to and/or installed any of Browzwear's Software, then, in addition to all other applicable terms in this Agreement, any use of the Software is subject to the following license terms:
- Software means the Browzwear applications specified in the purchase order or commercial contract with Browzwear. Please keep in mind that the Software is licensed, and not sold to You, and therefore Your rights are limited to those rights specified inhere.
THE FOLLOWING END USER LICENSE TERMS ARE THE SOLE LEGAL TERMS GRANTING YOU LIMITED RIGHTS TO USE THE SOFTWARE. IF YOU DO NOT ACCEPT THIS OR AGREE TO IT, YOU MUST CEASE USING THE SOFTWARE, AND REMOVE ALL AND ANY OF ITS COPIES. SUCH UNAUTHORIZED USE SHALL BE DEEMED AS COPYRIGHT INFRINGEMENT AND SHALL BEAR SEVERE PENALTIES ACCORDING TO LAW. - License Scope: As long as this Agreement was not terminated due to a breach made on your behalf, Browzwear hereby grants you a limited license under the terms specified herein for the products specified in the purchase order or commercial contract with Browzwear ("License").
- Limited: Browzwear hereby grants You a limited, personal, non-assignable and non-transferable, royalty free, non-exclusive license, which excludes the right to create derivative works, all in accordance with the terms set in this Agreement and other legal restrictions set forth by third party software to use the Software on Your devices.
- Additional License Restrictions: In addition to the restrictions set forth in this Agreement above, the following additional restrictions shall apply to any use of the Software:

- Development License. Unless You purchased a Development License, you cannot integrate the Software into other software or bundle it, nor can you distribute it alongside any program that adds functionality to the Software, including plugins, integration and similar software. Use of Browzwear's open platform and/or headless software is subject to additional terms and conditions.
- No Derivative Works: You may not create derivative works of the Software, amend it or modify it, and You may not distribute or publish such derivative works. Moreover, You cannot take portions of the Software, or any of its components, and use them outside the scope of the Software. For the purposes of this Agreement, a derivative work shall not include changing the source code of configuration files.
- Only According to The Documentation: You may only use the Software for its intended manner and with accordance to the manuals, documentations and instructions provided by Browzwear.
- Personal, Non-Transferable & Non-Assignable: The license granted to You under this Agreement to use the Software is limited to yourself, where you cannot transfer or assign this Agreement without Browzwear’s explicit written consent.
- No Reuse or Relicense: You may not redistribute or otherwise resell the Software, allow third parties to use it as a software-as-a-service (outside the scope of this license) or obtain any access to it.
- No Use with Unauthorized Software: You may not use the Software with any unauthorized copies of third-party software, such as pirated operating systems or unlicensed software.
- No Breach: Your use of the Software may not be in breach of any third-party software agreement. For the avoidance of any doubt, as the Software contains or is distributed with third party software, Your use of the Software must be in accordance with such third-party software licenses. You must accept and obtain all relevant licenses to run the third-party database software (such as MySQL, Oracle, etc).
- Permitted Hardware: The Software shall only be used on the hardware owned and controlled by You, located at Your controlled premises in accordance with the user manuals or documentation (if any) which may be supplied in conjunction with the Software. In the event of remote access by Your employees or approved third-party subcontractors – You will provide Company with applicable information as may be requested by Company.
- No Use of Government Works: This Software is commercial computer software developed exclusively at private expense. Use, duplication, and disclosure by civilian agencies of the U.S. Government shall be in accordance with FAR 52.227-19 (c) or other agency data rights provisions, as may be applicable. Use, duplication and disclosure by DOD agencies is subject solely to the terms of standard software License Agreement as stated in DFARS 227.7202. “Unpublished-All rights reserved under the Copyright Laws of the United States”.

Revocation of License: In addition to any other right of Browzwear under this Agreement, this Agreement and the License shall expire automatically when (i) You exported the Software to any proscribed state or any other territory where Browzwear may not be able to enforce its rights under this Agreement; (ii) You became insolvent, filed for bankruptcy, were liquidated, restructured, ceased doing business or otherwise went into any arrangement that may cause Browzwear to be unable to enforce its rights under this Agreement; (iii) You have breached this Agreement, or otherwise infringed on Browzwear's intellectual property rights; (iv) the term of your license expired.
- License Term: the term of the license granted to You is as stated in the purchase order or commercial contract you made with Browzwear, and unless you purchased a perpetual license or otherwise stated in the purchase order or commercial contract, then it shall be terminated on the expiration of the term. Upon the expiration of the term, you shall cease using the Software.

Community License: If You have a Community license, then the following statements in the rest of this clause shall apply in addition to other terms in this Agreement; if You purchased a subscription to the Service or a limited license to the Software, then the following shall not apply to Your use; if You are an independent designer, and would like commercial rights to monetize Your individual work, You may purchase a Freelance license at www.browzwear.com.
NOTE: Any work product used, for example edited or saved, by a Community license, even if originally generated under Commercial license, will be subject to Community license terms.

Term. Unless expressly indicated otherwise in your contract with Browzwear, any Community license has an initial term of six calendar months from the date the software was first made available to You. At the end of the initial term, the Community license will then automatically renew and continue on a month to month term basis until terminated. At any time after the initial term, Browzwear may terminate the Community license by giving You advance written notice of termination to take effect on the last day of the then current month.
- Browzwear’s aim is to build a strong community, where every end-user shares as much information as possible with the world. This Agreement provides You with a free, non-commercial community license for internal, personal or educational purposes only. This means that the output of the Software created using this free community license must be licensed under a Creative Commons Attribution Share Alike License (CC BY-SA). The following is a non-exhaustive list of how to implement this state of fairness:
- If You create digital work product (e.g. garment) using the Community license, which you present publicly, the content may be subject to free public viewing and usage and You may be required to share the source files in order to allow our community of users to download and create derivative works of such content. Accordingly, such work may be published by Browzwear or by You on Browzwear's public domain (e.g. Stylezone board), at Browzwear's discretion, and Browzwear may require You to adhere to publishing policy, as may be in effect from time to time. Without limiting the above, Browzwear reserves the right to create a feature to automatically publish Your work on Browzwear's public domain. In addition, any published work shall include attribution to Browzwear as follows: "created with Browzwear".
- If You produce physical products (such as clothing or accessories) from Your content created using the Community license, then any such product (e.g. article of clothing) may not be sold or otherwise commercialized by You, and You may be required to share the source files in order to allow our community of users to download and create derivative works of such content.
- In the event Browzwear detects breach of the license terms (including without limitation Commercial use of the Service or Software), then in addition to any other applicable remedy available to it pursuant to this Agreement and/or applicable Law, Browzwear reserves the right to either, at its discretion: (i) restrict access to the Service until You pay Browzwear the applicable subscription fees (including retroactive payments), or (ii) terminate Your license or subscription.

Software Support, Updates and Service Levels: Your eligibility to receive Support, Updates, Upgrades and Fixes to the Software is limited to the current and last two preceding major version numbers of the Software, and conditioned on you having either a currently valid periodic license or a currently valid maintenance contract.
- Browzwear provides support only to the current and last two preceding major version numbers of the Software and shall not support older versions. Browzwear may provide you, from time to time, with Upgrades, Updates or Fixes, as detailed herein and according to its sole discretion, and as long as you have a license. You hereby warrant to keep the Software up-to-date and install all relevant Upgrades, Updates and Fixes.
- Version: each release of the Software will include a technical version name in the following format: <year>.<major version number>.<minor version number> <build number>.
- Upgrades: for the purpose of this Agreement, an Upgrade shall be a material amendment in the Software, which contains new features and/or major performance improvements.
- Updates: for the purpose of this Agreement, an Update shall be a minor amendment in the Software, which may contain new features or minor improvements.
- Fix: for the purpose of this Agreement, a Fix shall be a minor amendment in the Software, intended to remove bugs or alter minor features that impair the Software's functionality. A fix shall be marked with a new minor version number and a new build number.
- Bug Reports: Nothing in this Agreement shall require Browzwear to provide You with support or fixes to any bug, failure, mis-performance or other defects in the Software.
- Reporting: You shall provide Browzwear, by electronic mail, details regarding any bug, defect or failure in the Software promptly and with no delay from such event; You shall comply with Browzwear's requests for information regarding bugs, defects or failures and furnish it with information, screenshots and try to reproduce such bugs, defects or failures.
- Feature Request: You may request additional features in the Software, provided, however, that (i) You shall waive any claim or right in such feature should the feature be developed by Browzwear; (ii) You shall be prohibited from developing the feature, or disclosing such feature request, or feature, to any third party directly competing with Browzwear or any third party which may be, following the development of such feature, in direct competition with Browzwear; (iii) You warrant that feature does not infringe any third party patent, trademark, trade-secret or any other intellectual property right; and (iv) You developed, envisioned or created the feature solely by yourself. Any feature request shall be paid against a purchase order issued by Browzwear.
- Browzwear provides support only to the current and last two preceding major version numbers of the Software and shall not support older versions. Browzwear may provide you, from time to time, with Upgrades, Updates or Fixes, as detailed herein and according to its sole discretion, and as long as you have a license. You hereby warrant to keep the Software up-to-date and install all relevant Upgrades, Updates and Fixes.
- Disclaimer: In addition to the warranty disclaimer above, YOU SHALL BE SOLELY LIABLE TO ANY DAMAGE, DEFECT OR LOSS INCURRED AS A RESULT OF OPERATING SOFTWARE AND UNDERTAKE THE RISKS CONTAINED IN RUNNING THE SOFTWARE ON YOUR COMPUTERS. PLEASE ACKNOWLEDGE THAT THE RESULTS FROM THE ARTICLES PREPARED BY THE SOFTWARE MAY NOT ADHERE TO PROFESSIONAL STANDARDS OR THAT THEY MAY NOT BE A TRUE REPRESENTATION OF THE DIGITAL FILES.

Prior Inspection: You hereby state that you inspected the Software thoroughly and found it satisfactory and adequate to your needs, that it does not interfere with Your regular operation and that it does meet the standards and scope of Your computer systems and architecture. You found that the Software interacts with your computer, system and server environment and that it does not infringe any End User License Agreement of any software You may use in performing your services. You hereby waive any claims regarding the Software's incompatibility, performance, results and features.
- No Refunds: You warrant that you inspected the Software and that it is adequate to your needs. Accordingly, as the Software is intangible goods, You shall not be, ever, entitled to any refund, rebate, compensation, or restitution for any reason whatsoever, even if the Software contains material flaws.

XII. Changes and Enforcement
- Browzwear may change the terms of this Agreement to take account of a change in the law, or changes to the Services and/or Software. Browzwear will put changes in this document and notify you of any changes. Such notification may take the form of asking you to accept this Agreement again. No change will apply retrospectively. If You do not agree to a change in this Agreement, you should stop using the Services and/or Software.
XIII. Suspension of Service; Termination
- Terminating Accounts. Browzwear shall have the right to terminate Your use of the Services and/or Software or to terminate the Services and/or Software at any time and by providing 30 days prior notice. Moreover, Browzwear may terminate Your use of the Services and/or Software at any time and without prior written notice in any case where you breached this Agreement and such breach may cause Browzwear irreparable harm.
XIV. General

This Agreement constitutes as the full understanding between the parties relating to the subject matter thereof and shall supersede any agreement, understanding or contract created prior to it, either orally, verbally, written, implied or acted.
- The headings in this Agreement are brought solely for convenience and shall not be used to interpret it.
- The parties enter into this Agreement as independent contractors, where nothing in this Agreement shall be deemed as creating any agency, partnership, employer-employee relations or any other legal structure; and any such relation that existed prior to signing this Agreement shall terminate.
- This Agreement shall only be amended in writing.
- You hereby undertake not to initiate any class action against Browzwear and to solely seek your damages personally in court in cases where Browzwear breached this Agreement or any applicable law.
- If a term is unenforceable, this will not affect the validity of any other term.
- Neither party’s delay or waiver to enforce any of its rights shall be deemed as precedent or as an amendment of this Agreement.

This Agreement shall be exclusively governed by the laws of the state of Republic of Singapore, where any dispute shall be solely brought to the competent courts of the Republic of Singapore.
